Terms of Service

1. Binding Agreement

By accessing, browsing, creating an account, buying a ticket, casting a vote, or using any feature of Aseda Host (accessible at asedahost.com, associated subdomains, mobile applications, and USSD short-codes), operated by Erudite Africa Network ("Aseda Host", "we", "us", or "our"), a company registered in the Republic of Ghana, you confirm that you have read, understood, and unconditionally agree to be bound by these Terms of Service.

If you are entering into these terms on behalf of a company, event committee, or organization, you represent that you possess the legal authority to bind that entity. If you do not agree to these terms, you must discontinue using our services immediately.

2. Scope of Services & Intermediary Role

Aseda Host provides a specialized event technology infrastructure delivering:

• Electronic Voting: Web-based and USSD-based real-time voting channels for award schemes, competitions, and beauty pageants.
• Smart Ticketing: Digital ticket generation, instant QR code distribution, and gate validation scanners for concerts, conferences, and festivals.
• Organizer Dashboards: Real-time analytics, revenue reconciliation, and automated financial payout management for event creators.
• Equipment Rentals: Professional event equipment and accessory rental bookings.

3. Account Registration & Security

When registering an account:

• You agree to provide true, accurate, and current information, including your legal name, active telephone number, and email address.
• You are solely responsible for maintaining the confidentiality of your credentials. Any transaction or event creation occurring under your authenticated session is deemed authorized by you.
• You must notify us immediately at security@asedahost.com upon suspecting any unauthorized access.

4. Voting & Ticketing Rules

Participation in events hosted on AsedaHost is subject to strict operational fairness:

• Vote Finality: Votes cast via our website or USSD are final, non-refundable, and counted immediately once your payment is confirmed.
• Fair Voting: Using automated bots, fake numbers, or computer scripts to artificially inflate votes is strictly prohibited. Any fraudulent votes will be cancelled to keep competitions fair.
• Ticket Authenticity: Only official tickets and QR codes issued directly by Aseda Host will be recognized by event gate scanners. We cannot verify or honor tickets purchased from unauthorized third-party resellers.

5. Payments, Fees & Settlement

All monetary transactions on AsedaHost are processed in Ghana Cedis (GHS) through Bank of Ghana-licensed Payment Service Providers (Hubtel Ghana):

• Payment Methods: We support MTN Mobile Money, Telecel Cash, AT Money, and Visa/Mastercard debit and credit cards.
• Platform Commissions: AsedaHost deducts an agreed service commission from gross ticket sales and voting revenue before crediting host wallets.
• Refunds: All refunds are governed by our separate Refund & Cancellation Policy.

6. Prohibited Activities

You expressly agree not to:

• Use the platform for money laundering, fraudulent raffles, or unlicensed pyramid lottery schemes.
• Upload defamatory, obscene, infringing, or hateful nominee or event media.
• Probe, scan, or test the vulnerability of AsedaHost servers or bypass rate-limiting defenses.
• Initiate fraudulent chargebacks against legitimate voting or ticket transactions.

7. Intellectual Property Rights

The software, database architecture, design trademarks, user interfaces, and brand assets ("Aseda Host") are the proprietary intellectual property of Aseda Host, protected by Ghanaian and international copyright and trademark laws. You retain ownership of event flyers and trademarks you upload, granting Aseda Host a non-exclusive license to display them for marketing and operating your event.

8. Limitation of Liability

To the maximum extent permitted by applicable Ghanaian law:

• Aseda Host provides its services on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
• Aseda Host shall not be liable for indirect, incidental, punitive, or consequential damages resulting from telecom carrier SMS delays, mobile money network downtime, event cancellations by external organizers, or venue incidents.
• Our total cumulative liability to you for any claim arising from our services shall not exceed the total platform fees collected by Aseda Host for the specific transaction in dispute.

9. Indemnification

You agree to defend, indemnify, and hold harmless Aseda Host, its directors, employees, and technological affiliates from any claims, liabilities, damages, and legal costs arising from your breach of these Terms, your misuse of the platform, or the conduct of events you organize.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted under the laws of the Republic of Ghana. Any dispute, claim, or controversy arising out of these Terms shall first be submitted to good-faith mediation. Failing resolution within thirty (30) days, the matter shall be submitted to final and binding arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798) in Accra, Ghana.
