Host & Organizer Agreement

1. Scope & Relationship

This Host Agreement ("Agreement") constitutes a legally binding contract between Erudite Africa Network, the company that operates Aseda Host ("Aseda Host", "we", "us"), and any individual, corporate entity, brand, or association registering as an Event Organizer or Host ("Host", "Organizer", "you") on asedahost.com.

Independent Contractor Status: Aseda Host provides SaaS technology enabling ticketing, payment facilitation, and voting calculation. The relationship between you and Aseda Host is strictly that of independent contractors. Nothing in this agreement creates a partnership, joint venture, agency, or employment relationship.

2. Host Eligibility & Intentions Review

To maintain a trusted, safe, and transparent environment for event attendees and voters:

• Hosts must be at least 18 years of age and possess full legal capacity to enter into binding agreements.
• Direct Contact & Intentions Review: Aseda Host does not take or require physical national identity documents (such as Ghana Cards). Instead, our team reaches out and communicates directly with Hosts to understand their event intentions, event scope, venue/broadcast arrangements, and operational expectations before authorizing large-scale ticketing or voting payouts.
• Contact & Settlement Details: Hosts are required to provide a valid, reachable telephone number, working email address, and active mobile money or bank account information designated for revenue payouts.
• Ongoing Communication: Hosts agree to remain reasonably accessible via phone or WhatsApp while their events are active on the platform in order to promptly address attendee support queries or scheduling updates.

3. Event Content Standards & Prohibitions

You are exclusively responsible for all content, images, dates, ticket tiers, and nominee biographies published under your account. You promise that your events:

• Shall not promote illegal lotteries, unauthorized gambling, multi-level marketing (MLM) schemes, or financial scams.
• Shall not infringe upon any third-party copyright, trademark, or publicity rights (e.g., using celebrity likenesses without written authorization).
• Shall accurately reflect actual venue locations, ticket prices, and performer lineups. Misleading consumers constitutes a material breach and grounds for immediate termination.

4. Ticketing Operations & Gate Verification

When using AsedaHost digital ticketing:

• Aseda Host generates and sends verified digital QR codes and SMS ticket passes directly to attendees once payment is completed.
• Hosts must use the official Aseda Host Bouncer Scanner or Organizer Portal to scan tickets at the gate to prevent duplicate entries and ticket fraud.
• You agree not to duplicate, resell, or distribute unauthorized physical copies of tickets issued through Aseda Host.

5. Voting Competition Rules & Nominee Transparency

For award ceremonies, pageants, and contests:

• Fairness & Transparency: You agree that all nominees listed have consented to their nomination, or that you have reasonable basis to include them in public merit awards. Your full obligations towards nominees — including image rights, nominees under 18, and the removal process — are set out in our Nominee & Contestant Policy, which forms part of this Agreement.
• Prohibition of Phantom / Simulated Votes: You shall not inject artificial, falsified, or unpaid votes into the competition leaderboard. AsedaHost's automated anti-fraud sensors audit voting velocity and Hubtel payment IDs.
• Outcome Integrity: Published winners must correspond to verified platform tallies unless your official rules publicly disclose that public voting represents a defined percentage (e.g., 60% public vote, 40% academy board).

6. Fees & Platform Commission

AsedaHost charges transparent service commissions on revenue processed:

• Standard Commission: A service fee percentage is automatically deducted from each gross ticket purchase or vote transaction before crediting the Host Wallet balance.
• Payment Gateway Interchange: Third-party telecommunication and mobile money processing fees (Hubtel) are accounted for at checkout or absorbed per the Host's pricing setup.
• All fees are subject to statutory taxes where applicable by the Ghana Revenue Authority (GRA).

7. Wallet Payouts & Discretionary Holds

To reduce the risk of fraudulent cancellations and abandoned events:

• Discretionary Payout Holds: Aseda Host may, at its sole discretion, withhold or delay part or all of a Host's ticket revenue until after an event has taken place. We are most likely to do so for first-time hosts, unusually large events, or where we have reason to question whether an event will go ahead. This is a right we reserve, not a guarantee we make to attendees, and no fixed percentage is held aside as a matter of course.
• Withdrawal Requests: Verified Hosts may request payouts to their verified MTN MoMo, Telecel Cash, or Ghanaian bank accounts via the Host Dashboard. Every request is reviewed manually by our team before payout, and processing times vary with review volume.
• Fraud Freezes: We reserve the right to freeze payouts if an event is flagged for suspected fraud, nominee disputes, or pending regulatory review.

8. Event Cancellation & Host Financial Liability

In the event of cancellation:

• You must notify AsedaHost and all attendees in writing immediately.
• Any ticket revenue currently held in your Host Wallet or pending payout will be frozen and reallocated to fund attendee refunds.
• If ticket funds have already been withdrawn, you agree to pay Aseda Host back within five (5) business days to cover customer refund payouts.

9. Indemnification & Chargeback Reimbursement

You agree to defend, indemnify, and hold harmless Aseda Host, its officers, directors, employees, and software engineers from and against any third-party claims, lawsuits, damages, penalties, or expenses (including reasonable legal fees) arising from:

• Your failure to deliver or hold an advertised event.
• Personal injury, property loss, or incidents occurring at your physical event venue.
• Any bank chargebacks or mobile money reversals initiated by attendees due to your cancelled or misrepresented event.
• Copyright or trademark infringement claims regarding media you uploaded.

10. Suspension & Termination

Aseda Host may terminate your Host account or delist active events immediately without prior notice if:

• You breach any material term of this Agreement or our Refund Policy.
• We receive verified reports of ticket counterfeiting, phantom voting, or fraudulent activity.
• You provide deceptive or misleading event details, evade our intentions review, or cannot be reached via your provided contact channels during active event operations.

11. Governing Law & Dispute Resolution

This Agreement shall be governed by, and construed in accordance with, the laws of the Republic of Ghana. Any dispute arising out of or in connection with this contract shall be submitted to binding arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798), seated in Accra or Kumasi, Ghana.
